In short

  • Using verdaq.com means you accept these terms.
  • Content on the site is general information, not advice. Nothing here creates a client relationship.
  • Please do not send confidential or sensitive information through the site before an engagement is agreed.
  • Our platforms and bespoke AI work are provided only under separate licence or engagement terms.
  • Hong Kong law governs these terms.

A summary for convenience. The full text below is what applies.

About these terms

  1. These Terms & Conditions (the Terms) apply to your access to and use of the website at verdaq.com and any of its sub-domains and pages (the Site). The Site is operated by VERDAQ Limited (business registration number: 79073216), a company incorporated under the laws of Hong Kong, with its registered office at Suite 4002A, 40/F, Tower 1, Lippo Centre, 89 Queensway, Admiralty, Hong Kong (VERDAQ, we, us or our).

  2. By accessing or using the Site you agree to these Terms. If you do not agree, please do not use the Site. If you use the Site on behalf of an organisation, you confirm that you are authorised to accept these Terms for it.

  3. These Terms should be read together with our Privacy Policy, which explains how we handle personal data, including through cookies.

Information only, not advice

  1. The Site describes VERDAQ and its three divisions: Strategic Advisory, Intelligence, and AI & Technology. Content on the Site, including insights, articles, case summaries, reports and commentary, is provided for general information only.

  2. Nothing on the Site is legal, financial, investment, regulatory, tax, security or other professional advice, and it must not be relied on as such. You should obtain advice specific to your circumstances before acting, or refraining from acting, on anything you read here.

  3. Case summaries and examples are illustrative. They may be anonymised, simplified or combined, and past outcomes do not indicate future results.

  4. We aim to keep the Site accurate and current, but we do not guarantee that any content is complete, accurate or up to date, and we may change or remove content at any time without notice.

Enquiries and client engagements

  1. Contacting us through the Site, by email or otherwise, does not create a client, advisory, agency or fiduciary relationship. A relationship exists only when VERDAQ and the client have signed an engagement letter or service agreement, and that agreement, not these Terms, then governs the services.

  2. Before accepting any engagement we carry out conflict, eligibility, know-your-client and sanctions checks. We may decline any enquiry or engagement at our discretion and are not obliged to give reasons.

  3. Please do not send confidential, privileged, market-sensitive or special-category information through the Site's forms or general email addresses until we have agreed how such information will be handled. Until then, we cannot accept any duty of confidentiality for unsolicited material, although we will treat personal data in accordance with our Privacy Policy.

  4. If you wish to report a concern about a person or organisation, please use the contact route we provide for that purpose so it can be handled securely.

Our platforms and AI services

  1. Our AI & Technology division licenses proprietary platforms, including the platforms marketed as ARCUS, BASTION and CHAINJACKAL, and builds bespoke AI agents and agentic systems for clients. Descriptions of these products on the Site are a summary only and do not form an offer capable of acceptance.

  2. Access to any platform, trial, demonstration environment, API or bespoke system is provided only under a separate written licence, subscription or development agreement. If that agreement conflicts with these Terms, the agreement prevails.

  3. Any demonstration, sample output or interactive feature on the Site is provided as is, for evaluation only. Outputs generated by artificial intelligence can be incomplete or inaccurate and should be reviewed by a qualified person before being relied on.

  4. Features, specifications, availability and pricing described on the Site may change without notice.

Intellectual property

  1. The Site and its content, including text, reports, graphics, logos, design, layout, software and data, are owned by or licensed to VERDAQ and are protected by copyright, trade mark and other intellectual property laws in Hong Kong and elsewhere.

  2. VERDAQ, ARCUS, BASTION, CHAINJACKAL and associated names and logos are trade marks of VERDAQ or its affiliates, whether or not registered. You may not use them without our prior written consent, including in metatags, domain names, advertising or to suggest an endorsement or association.

  3. You may view the Site and print or download extracts for your own internal, non-commercial reference, provided you keep all copyright and proprietary notices intact and do not alter the content. Any other copying, distribution, republication or creation of derivative works requires our prior written consent.

  4. If you would like to quote or republish our insights or research, please contact info@verdaq.com.

Acceptable use

  1. You must use the Site lawfully and in a way that does not infringe the rights of, or restrict or inhibit the use of the Site by, anyone else.

  2. You must not, and must not attempt to:

    • access, test, scan or probe any part of the Site, its servers or connected systems for vulnerabilities, or breach any security or authentication measures, except under a written engagement with us;
    • introduce viruses, malware or other harmful code, or carry out denial-of-service or similar attacks;
    • use robots, spiders, scrapers or other automated means to copy, harvest or index content, other than standard search engine crawlers that follow our robots.txt;
    • use any content from the Site to train, fine-tune, benchmark or improve any artificial intelligence or machine learning model, or to build a competing product or dataset;
    • reverse engineer, decompile or disassemble any software or interactive feature on the Site;
    • frame or mirror the Site, or link to it in a way that suggests an association with or endorsement by us;
    • impersonate any person, misrepresent your affiliation, or submit false or misleading information; or
    • use the Site in connection with any unlawful activity, including fraud, harassment, unlawful surveillance or the disclosure of personal data without consent.
  3. We may suspend or restrict your access to the Site at any time if we reasonably believe you have breached these Terms, and we may report suspected unlawful activity to the relevant authorities.

Information you submit

  1. When you submit information to us, for example through a contact form, newsletter sign-up, event registration or job application, you confirm that it is accurate and that you are entitled to share it, including any personal data about other people.

  2. We will handle personal data you submit in accordance with our Privacy Policy.

  3. Unless agreed otherwise in writing, any feedback, ideas or suggestions you send us about the Site or our services are non-confidential, and we may use them without obligation to you.

Availability and security

  1. We do not guarantee that the Site will be available at all times, uninterrupted or error-free. We may suspend, withdraw or change all or part of the Site for maintenance, security or business reasons without notice.

  2. We take reasonable steps to protect the Site, but we cannot guarantee that it is free of vulnerabilities or harmful code. You are responsible for protecting your own devices and systems when using the internet.

  3. If you believe you have found a security vulnerability in the Site, please report it to info@verdaq.com and do not exploit or disclose it.

Disclaimer

  1. To the fullest extent permitted by law, the Site and its content are provided on an as-is and as available basis, without any representation, warranty or condition, express or implied, including as to accuracy, completeness, fitness for a particular purpose, non-infringement or satisfactory quality.

Limitation of liability

  1. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited, including under the Control of Exemption Clauses Ordinance (Cap. 71).

  2. Subject to clause 11.1, VERDAQ, its affiliates and their directors, officers, employees and agents will not be liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss or damage arising from your use of, or inability to use, the Site or reliance on its content, including loss of profit, revenue, business, opportunity, goodwill or data, or any indirect or consequential loss.

  3. Subject to clause 11.1, our total aggregate liability to you arising out of or in connection with the Site, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total amount (if any) paid by you to us for access to or use of the Site in the twelve (12) months immediately preceding the event giving rise to the claim.

  4. The Site is provided free of charge for information purposes, and you acknowledge that these limitations are reasonable in that context. They do not affect any liability under a signed engagement, licence or service agreement, which is governed by that agreement.

Indemnity

  1. You agree to indemnify VERDAQ and its affiliates against any claims, losses, liabilities, costs and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.

Sanctions and export controls

  1. You must not use the Site, or request our services or technology, in breach of any applicable sanctions or export control laws, including those of Hong Kong, the United Nations, the United States, the European Union and the United Kingdom.

  2. We do not engage with persons or entities that are the target of applicable sanctions, and we may refuse or end any interaction where we reasonably believe it would expose us to sanctions or export control risk.

Changes to these terms

  1. We may update these Terms from time to time. The updated version will be posted on this page with a new effective date and applies from that date. Please check this page regularly. Continuing to use the Site after a change means you accept the updated Terms.

General

  1. If any provision of these Terms is found to be invalid or unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in full force.

  2. Our failure or delay in enforcing any provision is not a waiver of our right to do so later.

  3. We may transfer our rights and obligations under these Terms to an affiliate or to a successor to our business. You may not transfer yours without our written consent.

  4. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce or enjoy the benefit of any of its provisions, except that our affiliates may rely on clauses 11 and 12.

  5. These Terms, together with the Privacy Policy, are the entire agreement between you and us about your use of the Site.

  6. If these Terms are translated into another language, the English version prevails in case of any inconsistency.

Governing law and jurisdiction

  1. These Terms, and any dispute or claim arising out of or in connection with them or the Site (including non-contractual disputes or claims), are governed by the laws of the Hong Kong Special Administrative Region.

  2. The courts of Hong Kong have exclusive jurisdiction to settle any such dispute or claim, although we may bring proceedings in any other court of competent jurisdiction to protect our intellectual property or confidential information.
